General: In accessing this website and buying our products, it is deemed that you fully understand all terms and conditions stated herein and agree to abide by the terms and conditions set forth in this notice. These Terms supersede any negotiations between the Company and the Customer, including any terms and conditions submitted by the customer unless the Company agrees otherwise in writing. If any of these terms are deemed invalid or unenforceable for any reason, then the invalid or unenforceable provision will be severed from these terms and the remaining terms will continue to apply.

Terminology: The following terminology applies to these Terms & Conditions of Use, Privacy Notice and Shipping & Returns Notice.

Seller – Integrated Security Management (ISM) or any of its affiliates selling products on this website. Also referred to as ‘the company’, ‘we’, ‘us’, ‘our’,'Seller
Products – Goods and/or services provided by the seller to the customer.
Customer – The person or entity purchasing products from the seller.  also referred to as 'client', 'you', 'your', 'end user'

Any use of the above terminology or other words in the singular, plural, capitalization and/or he/she or they, are taken as interchangeable and therefore as referring to same.

Payment Terms: Acceptable forms of payment include PayPal, Pre-payment by check and Purchase orders.

New Accounts: A Customer desiring to establish a new account with ISM must provide such information as may be requested by the Company. We may make inquiries with credit reference agencies or other sources to validate such information provided. The Company maintains absolute discretion to grant, refuse or suspend any credit amenities or to reduce or suspend any credit limit at any time.

Purchase orders: Purchase orders are accepted from customers that have established an approved purchase agreement with us. Our terms are payment in full within 30 days from the date of the shipment. Partial shipments will be billed by seller as made. Customer shall have no right to offset or withhold payment. Balances remaining outstanding by the due date will incur late payment interest at the rate of 2% above the prevailing Bank of Australia’s base rate per month but not to exceed the maximum amount permitted by applicable law on the outstanding balance, until such time as the balance is paid in full and final settlement is made. We reserve the right to seek recovery of any monies remaining unpaid 60 days from the date of invoice. You will be liable for any and all additional administrative and/or court costs. Seller may cancel or delay delivery of Products in the event of an arrearage in Customer’s account. Seller may waive any default without waiving any prior or subsequent default. Customer agrees to pay all costs, including reasonable attorneys’ fees, incurred in any collection efforts for outstanding balances. Seller retains ownership of all Products, and the proceeds thereof, until Customer has made payment in full in accordance with the terms hereof.
  
Returned check: Returned cheques will incur a $25 charge to cover banking fees and administrative costs. We reserve the right to terminate the sales arrangement.  

Pricing: Prices published on the website are subject to change without notice. Apart from any exceptions that may be noted in our product descriptions, prices do not include any taxes, freight, handling, duty or other related charges, payment of which is the sole responsibility of Customer.

Orders: All orders are subject to acceptance by the Seller and in accordance with these Conditions. Orders for certain Goods may be subject to a minimum order quantity. We reserve the right to decline trade with any entity, company or person. Acceptance of orders by Seller is subject to credit approval and such other conditions that may be set by Seller at our sole discretion. Seller reserves the right to modify terms prior to shipment, require payment in advance, or delay or cancel any shipment order by reason of Customer’s failure to fulfill any obligations when due.

Cancellation: Orders can not be canceled or rescheduled by Customer without Seller’s prior written authorization. The Customer is liable to Seller for all expenses or additional costs incurred by Seller in such event. Seller may cancel any unfilled order without notice to Customer in the event that Customer becomes unable to meet its financial obligations in the normal course of business.

Description: The Company takes all reasonable steps to ensure the accuracy of descriptions to include but not limited to, specifications, data sheets. drawings, photographs, illustrations, application notes, particulars of weights, dimensions, capacity or other details including, without limitation, any statements regarding compliance with legislation or regulation wherever they appear. Descriptions are intended to provide a general idea of the product but shall not constitute part of the contract. The Company accepts no liability for any error in or omission from such Descriptions.

Warranty Information: Seller warrants that goods supplied to the customer will be free of defects in material and workmanship for the duration of the warranty. Products carry varied warranty periods, specifics of which are available on Customer request. The warranty begins on the date of the original shipment to the buyer. The manufacturer’s warranty is contingent upon the proper use in accordance with the instructions and specifications published by the manufacturer. The manufacturer’s warranty is void when goods have been repaired or modified by persons other than authorized representatives of the manufacturer or which have been subjected to misuse, negligence, or accident at the hands of the buyer. Goods offered by the Seller must be installed by experienced and qualified technical personal.  Our company is not responsible for personal or property damages due to improper installations. Warranty does not cover any damages caused by misuse, improper installation, vandalism, neglect, alterations or modifications. Damages due to weather, terrorism or acts of god are also not covered by warranty.

If you are in need of warranty repair, please refer to our shipping and return policies and contact us to outline the details of the problem. We will issue a RMA number that must be included with the return packaging. Keep in mind that you are responsible for shipping charges.

Force Majeure: Seller shall not be liable for failure or delay in performing any obligations under this  agreement which is a result of events beyond Seller’s reasonable control including but not be limited to Acts of God, accident, terrorism, war, malicious damage, failure or breakdown of components necessary for order completion, government actions, fire, explosion, flood, import or export regulations or embargoes, labour disputes or inability to obtain or a delay in obtaining supplies of Goods or labour or any other natural or man made eventuality outside of our control. Seller reserves the right to postpone or cancel the complete or any part of the shipment of any products due to these unforeseen circumstances.

Proprietary Rights: The goods presented in this online catalogue are subject to intellectual and industrial property rights including but not limited to, patents, trademarks, knowhow, copyright, and design rights. Prices quoted and charged are for the Products only and do not include technical data or proprietary rights of any kind. No right or license is granted to the Customer, except the right to use the Goods or re-sell the Goods in the Customer’s ordinary course of business. For a fee and non-disclosure contract, Schematics based on application from the end user are available. Source code is not available. Contact the Company for more details.


Limitation of Liability: Sellers aggregate liability arising from or any way related to the goods delivered shall not, under any circumstances, exceed the payment received by the seller from the customer for such goods. In no event shall the seller be responsible for incidental, consequential, special or punitive damages.

Disputes: All disputes, under any contract with Seller, shall be resolved in a court of competent jurisdiction for the location of Seller's corporate headquarters.

Notification of Changes: The Company reserves the right to change these conditions from time to time as it sees fit and your continued use of the site will signify your acceptance of any adjustment to these terms. You are therefore advised to re-read our conditions on a regular basis.
